These Terms and Conditions ("Terms") govern your access to and use of all websites, programs, products, services, coaching offerings, digital content, live events, and community spaces operated by Celameta LLC, doing business as Quinna Oceanna Water and Inner Meridians Coaching (collectively referred to as "Company," "we," "us," or "our").
By accessing or using any of our services, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree, you must discontinue use immediately.
Acceptance of Terms
By purchasing, enrolling in, accessing, or otherwise using any service offered by the Company, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. Your continued use constitutes ongoing acceptance.
These Terms apply to all visitors, users, clients, program participants, event attendees, and any individual or entity that engages with our services in any capacity ("you" or "Client").
We reserve the right to refuse service to anyone for any reason at any time.
Definitions
For the purposes of these Terms, the following definitions apply:
- "Company" refers to Celameta LLC, and its brands Quinna Oceanna Water and Inner Meridians Coaching, including all employees, contractors, coaches, facilitators, and authorized representatives.
- "Services" refers to all coaching programs, masterminds, group experiences, workshops, events, digital products, courses, downloadable materials, email communications, website content, community platforms, social media content, and any other offerings provided by the Company.
- "Client" refers to any individual who purchases, enrolls in, or participates in any Service.
- "Content" refers to all text, graphics, images, audio, video, data, information, frameworks, templates, worksheets, and other materials created, provided, or distributed by the Company.
- "Program" refers to any structured coaching offering, including but not limited to Inner Meridian (1:1), IM ME (Mastermind), BECOMING, workshops, and events.
Services Overview
Celameta LLC provides transformational coaching, personal development, and empowerment services through the following brands and offerings:
Quinna Oceanna Water
Quinna Oceanna Water is a women's empowerment coach, speaker, and thought leader. Services offered under this brand include speaking engagements, workshops, live events, social media content, and digital resources focused on subconscious reprogramming, nervous system alignment, self-sabotage pattern interruption, boundary work, and embodied personal power.
Inner Meridians Coaching
Inner Meridians Coaching delivers structured coaching programs, including:
- INNER MERIDIAN — Private 1:1 coaching (application-based enrollment)
- IM ME (Inner Meridian Mastermind Experience) — A multi-month in-person group mastermind
- BECOMING — A multi-week in-person group activation experience (application-based enrollment)
- Workshops and Events — Including but not limited to "Plan Your Success," "Network With Purpose," and other live or virtual experiences
The Company reserves the right to modify, suspend, or discontinue any Service at any time, with reasonable notice provided to active participants when applicable.
Eligibility
You must be at least 18 years of age to use our Services. By agreeing to these Terms, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement.
Certain Programs require an application and approval process. Submission of an application does not guarantee acceptance. The Company reserves the sole right to accept or decline any applicant for any reason, and such decisions are final and non-negotiable.
By applying for or enrolling in any Program, you represent that all information you provide is truthful, accurate, and complete.
Accounts & Registration
Some Services may require you to create an account or provide personal information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
You agree to notify us immediately of any unauthorized use of your account. The Company is not liable for any loss or damage arising from your failure to protect your login credentials.
We reserve the right to suspend or terminate accounts that violate these Terms, are used fraudulently, or are inactive for an extended period.
Payments, Pricing & Billing
All prices are listed in U.S. Dollars (USD) unless otherwise stated. Pricing is subject to change without prior notice, though changes will not affect confirmed enrollments already paid in full.
Payment Terms
- Full payment or execution of a payment plan is required prior to or at the start of any Program.
- Payment plans, where offered, are binding financial commitments. You agree to pay all installments on schedule, regardless of whether you continue participating in the Program.
- Failure to make a scheduled payment may result in suspension of access to the Program and/or additional collection efforts.
Payment Methods
We accept payments through our authorized payment processors. By providing payment information, you represent that you are authorized to use the payment method and authorize the Company to charge the applicable fees.
Late Payments
If a payment is missed or declined, the Company will attempt to notify you. If payment is not received within 7 business days of the original due date, the Company reserves the right to suspend your access, apply a late fee of up to $50 per occurrence, and/or pursue collection of the outstanding balance, including reasonable attorneys' fees and collection costs.
Taxes
You are responsible for all applicable taxes associated with your purchase. The Company will collect sales tax where required by law.
Refund & Cancellation Policy
General Policy
ALL SALES ARE FINAL. Due to the nature of coaching, personal development services, and the proprietary content shared upon enrollment, refunds are generally not provided.
Coaching Programs (1:1, Mastermind, Group Experiences)
- Once you are accepted and enrolled in any Program, your financial commitment is binding for the full duration of the Program.
- Failure to attend sessions, complete assignments, or participate does not entitle you to a refund or reduction in fees.
- If you are on a payment plan, all remaining installments are due regardless of whether you continue to participate.
Events & Workshops
- Event and workshop registrations are non-refundable once confirmed.
- If the Company cancels an event, registered participants will receive a full refund or the option to apply their payment toward a future event.
- Transfers to future events may be permitted at the Company's sole discretion.
Digital Products
Due to the instant-access nature of digital products, all sales of digital downloads, templates, courses, and similar materials are non-refundable.
Exceptions
Any exception to this Refund Policy is at the sole discretion of the Company and must be requested in writing to [email protected]. Exceptions, if granted, do not set precedent for future refund requests.
Coaching & Program Disclaimer
Not Therapy, Medical, Legal, or Financial Advice
THE SERVICES PROVIDED BY THE COMPANY ARE COACHING AND PERSONAL DEVELOPMENT SERVICES ONLY. THEY ARE NOT THERAPY, COUNSELING, PSYCHOTHERAPY, MEDICAL TREATMENT, LEGAL ADVICE, OR FINANCIAL PLANNING.
Quinna Oceanna Water and all coaches, facilitators, and representatives of the Company are not licensed therapists, psychologists, psychiatrists, physicians, attorneys, or financial advisors. Nothing provided through our Services should be construed as a substitute for professional medical, psychological, legal, or financial advice.
If you are experiencing a mental health crisis, please contact a licensed mental health professional or call 988 (Suicide & Crisis Lifeline).
No Guaranteed Outcomes
The Company makes no guarantees, representations, or warranties regarding specific outcomes, results, or transformations. Coaching and personal development are inherently experiential. Your results depend on numerous factors, including but not limited to your individual effort, commitment, existing circumstances, readiness, and follow-through.
Testimonials, case studies, and examples shared by the Company are individual experiences and are not guarantees that you will achieve similar results.
Personal Responsibility
By enrolling in any Program or using any Service, you accept full responsibility for your own choices, actions, and results. You acknowledge that coaching involves self-exploration, which may bring up difficult emotions. You agree to seek professional support if needed and to communicate openly with your coach about your experience.
Intellectual Property
Ownership
All Content, materials, frameworks, methodologies, curricula, branding, logos, program names, and proprietary processes are the exclusive intellectual property of Celameta LLC and/or its licensors. This includes but is not limited to the names "Quinna Oceanna Water," "Inner Meridians Coaching," "Inner Meridian," "IM ME," "BECOMING," and all associated branding.
Limited License
Upon enrollment or purchase, you are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Content for your personal, non-commercial use only. This license does not grant you any ownership rights.
Prohibited Uses
You may NOT, without prior written consent from the Company:
- Copy, reproduce, distribute, publish, display, or transmit any Content
- Modify, adapt, translate, or create derivative works from any Content
- Sell, resell, license, sublicense, or commercially exploit any Content
- Share login credentials, program materials, recordings, or resources with non-enrolled individuals
- Record coaching sessions, calls, workshops, or events (audio or video) without explicit written permission
- Use any Content to create competing services, programs, or products
- Reverse-engineer any proprietary frameworks, processes, or methodologies
Enforcement
Unauthorized use of any intellectual property may result in immediate termination of your access, legal action, and monetary damages, including but not limited to actual damages, statutory damages, and reasonable attorneys' fees.
User Conduct & Community Standards
Our programs, events, and community spaces are designed to be safe, respectful, and growth-oriented environments. By participating, you agree to:
- Treat all participants, coaches, facilitators, and staff with respect and dignity
- Refrain from harassment, discrimination, bullying, or intimidation of any kind
- Honor the confidentiality of other participants' personal stories and experiences
- Refrain from soliciting, selling, or promoting your own business, products, or services to other participants unless explicitly invited to do so by the Company
- Engage authentically and honestly in all communications
- Arrive on time and prepared for scheduled sessions, calls, and events
- Abstain from attending sessions or events under the influence of drugs or alcohol
The Company reserves the right to remove any participant from a Program, event, or community space for conduct that violates these standards, without refund.
Confidentiality
Company Confidentiality
All proprietary content, strategies, frameworks, processes, and business information shared during Programs and Services are confidential. You agree not to disclose, share, or distribute any confidential Company materials to third parties.
Client Confidentiality
The Company respects your privacy. Information shared during coaching sessions will be treated as confidential, except in the following circumstances:
- Where disclosure is required by law
- Where there is a credible threat of harm to yourself or others
- Where you have provided written consent for disclosure
- Where general, anonymized themes are used for educational, marketing, or training purposes (no personally identifying details will be shared without explicit permission)
Group Settings
In group programs, masterminds, and workshops, while the Company upholds confidentiality, we cannot guarantee that other participants will do the same. By participating in group settings, you acknowledge this inherent risk and agree to hold the Company harmless for any breach of confidentiality by fellow participants.
Privacy & Data
Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
By using our Services, you consent to the collection and use of your information as described in our Privacy Policy. This includes information collected through our website, email communications, forms, payment processors, and third-party platforms used to deliver our Services.
We will never sell your personal information to third parties.
Third-Party Services & Links
Our Services may integrate with or contain links to third-party websites, platforms, and services (including but not limited to payment processors, scheduling tools, email platforms, social media, and community platforms). These third-party services are governed by their own terms and privacy policies.
The Company is not responsible for the content, accuracy, practices, or availability of any third-party services. Your use of third-party services is at your own risk, and you agree to review and comply with their respective terms.
The inclusion of any link or integration does not imply endorsement by the Company.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CELAMETA LLC, ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, COACHES, FACILITATORS, CONTRACTORS, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- Your access to, use of, or inability to access or use the Services
- Any conduct or content of any third party related to the Services
- Any content obtained from the Services
- Unauthorized access, use, or alteration of your transmissions or content
- Any decisions or actions you take based on information received through the Services
- Any emotional distress, personal injury, or other harm arising from your participation in any Program or Service
IN NO EVENT SHALL THE COMPANY'S TOTAL CUMULATIVE LIABILITY TO YOU EXCEED THE AMOUNT YOU HAVE PAID TO THE COMPANY IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Indemnification
You agree to indemnify, defend, and hold harmless Celameta LLC, its owners, officers, directors, employees, coaches, facilitators, contractors, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:
- Your use of or access to any Service
- Your violation of these Terms
- Your violation of any third-party right, including any intellectual property, privacy, or proprietary right
- Any claim that your actions caused damage to a third party
- Your conduct during any Program, event, or community interaction
This indemnification obligation survives the termination of these Terms and your relationship with the Company.
Disclaimers
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
The Company does not warrant that:
- The Services will meet your specific requirements or expectations
- The Services will be uninterrupted, timely, secure, or error-free
- The results obtained from use of the Services will be accurate or reliable
- Any errors in the Services will be corrected
Any Content downloaded from or otherwise accessed through the Services is at your own discretion and risk. You are solely responsible for any damage to your computer systems or loss of data resulting from such activities.
Termination
By the Company
The Company reserves the right to terminate or suspend your access to any Service, immediately and without prior notice, for any reason, including but not limited to breach of these Terms, disruptive behavior, non-payment, or any conduct the Company deems harmful to the Program, other participants, or the Company's reputation.
By the Client
You may request to withdraw from a Program by providing written notice to [email protected]. Withdrawal does not release you from financial obligations, including remaining payment plan installments. Refund eligibility is governed by Section 07 of these Terms.
Effects of Termination
Upon termination, your license to access and use Content and Services is immediately revoked. You must cease all use of proprietary materials. Sections relating to Intellectual Property, Limitation of Liability, Indemnification, Confidentiality, and Dispute Resolution survive termination.
Dispute Resolution & Governing Law
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of law provisions.
Informal Resolution
Before initiating any formal dispute resolution, you agree to first contact the Company at [email protected] and attempt to resolve the dispute informally for a period of at least thirty (30) days.
Binding Arbitration
If the dispute cannot be resolved informally, you agree that any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be resolved by binding arbitration conducted in Rutherford County, Tennessee, in accordance with the rules of the American Arbitration Association. Judgment on the arbitration award may be entered in any court of competent jurisdiction.
Class Action Waiver
YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
Limitation on Time to File Claims
Any cause of action or claim arising from or relating to these Terms or the Services must be commenced within one (1) year after the cause of action accrues. Otherwise, the cause of action is permanently barred.
Force Majeure
The Company shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond the Company's reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, government orders, war, terrorism, civil unrest, labor disputes, power failures, internet disruptions, or any other event beyond reasonable control.
In such events, the Company will make reasonable efforts to provide alternative arrangements, rescheduled sessions, or equivalent value, but is not obligated to provide refunds.
Modifications to Terms
The Company reserves the right to modify, update, or replace these Terms at any time at its sole discretion. Material changes will be communicated via email to active clients or by posting the updated Terms on our website with a revised "Last Updated" date.
Your continued use of any Service after the posting of revised Terms constitutes your acceptance of the changes. If you do not agree with the updated Terms, you must discontinue use of the Services.
It is your responsibility to review these Terms periodically for changes.
Severability & Waiver
Severability
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
Waiver
The failure of the Company to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. A waiver of any term shall not be deemed a continuing or further waiver of that term or any other term.
Entire Agreement
These Terms, together with our Privacy Policy and any applicable program-specific agreements, enrollment forms, or contracts, constitute the entire agreement between you and Celameta LLC regarding the Services and supersede all prior agreements, understandings, representations, and warranties, both written and oral.
In the event of a conflict between these Terms and a program-specific agreement, the program-specific agreement shall control to the extent of the conflict.
